ThisAgreementiseffectiveasofthedateCustomerclicksto accepttheAgreement,orentersintoaResellerAgreementif purchasingthroughaReseller(the"EffectiveDate").Ifyouare acceptingonbehalfofCustomer,yourepresentandwarrantthat: (a)youhavefulllegalauthoritytobindCustomertothis Agreement;(b)youhavereadandunderstandthisAgreement;and (c)youagree,onbehalfofCustomer,tothisAgreement.Ifyou donothavethelegalauthoritytobindCustomer,pleasedonot clicktoaccept.ThisAgreementgovernsCustomer'saccesstoand useoftheServices. 1. ProvisionoftheServices. 1.1 UseoftheServicesinCustomerApplications.  GooglewillprovidetheServicestoCustomerinaccordance withtheAgreement,andCustomermayusetheServicesin CustomerApplication(s)inaccordancewithSection3(License). 1.2 AdminConsole;Projects;API Keys. CustomerwilladministertheServicesthrough theonlineAdminConsole.ToaccesstheServices,Customermust createProject(s)anduseitsAPIkey(s)inaccordancewiththe Documentation. 1.3 Accounts.CustomermusthaveanAccount. Customerisresponsiblefor:(a)theinformationitprovidesin connectionwiththeAccount;(b)maintainingtheconfidentiality andsecurityoftheAccountandassociatedpasswords;and(c) anyuseofitsAccount. 1.4 CustomerDomainsandApplications.Customer mustlistintheAdminConsoleeachauthorizeddomainand applicationthatusestheServices.Customerisresponsiblefor ensuringthatonlyauthorizeddomainsandapplicationsusethe Services. 1.5 NewFeaturesandServices.Googlemay:(a) makenewfeaturesorfunctionalityavailablethroughthe Servicesand(b)addnewservicestothe"Services"definition (byaddingthemattheURLstatedunderthatdefinition). Customer’suseofnewfeaturesorfunctionalitymaybe contingentonCustomer’sagreementtoadditionalterms applicabletothenewfeatureorfunctionality. 1.6 Modifications. 1.6.1 TotheServices.SubjecttoSection9 (DeprecationPolicy),GooglemaymakechangestotheServices, whichmayincludeadding,updating,ordiscontinuingany Servicesorportionorfeature(s)oftheServices.Googlewill notifyCustomerofanymaterialchangetotheServices. 1.6.2. TotheAgreement.Googlemaymakechanges totheAgreement,includingpricingandanylinkeddocuments. UnlessotherwisenotedbyGoogle,materialchangestothe Agreementwillbecomeeffective30daysafternoticeisgiven, except(a)materiallyadverseSLAchangeswillbecomeeffective 90daysafternoticeisgiven;and(b)changesapplicabletonew Servicesorfunctionality,orrequiredbyacourtorderor applicablelaw,willbeeffectiveimmediately.Googlewill providenoticeformateriallyadversechangestoanySLAsby: (i)sendinganemailtotheNotificationEmailAddress;(ii) postinganoticeintheAdminConsole;or(iii)postinganotice totheapplicableSLAwebpage.IfCustomerdoesnotagreetothe revisedAgreement,CustomershouldstopusingtheServices. GooglewillpostanymodificationtothisAgreementtotheTerms URL. 2. PaymentTerms. 2.1 FreeQuota.CertainServicesareprovidedto Customerwithoutchargeuptothe FeeThreshold,as applicable. 2.2 OnlineBilling.Attheendofthe applicable FeeAccrualPeriod,Googlewillissuean electronicbilltoCustomerforallchargesaccruedabovethe FeeThresholdbasedonCustomer’suseoftheServicesduringthe previousFeeAccrualPeriod.ForuseabovetheFeeThreshold, CustomerwillberesponsibleforallFeesuptotheamountset intheAccountandwillpayallFeesinthecurrencysetforth intheinvoice.IfCustomerelectstopaybycreditcard,debit card,orothernon-invoicedformofpayment,Googlewillcharge (andCustomerwillpay)allFeesimmediatelyattheendofthe FeeAccrualPeriod.IfCustomerelectstopaybyinvoice(and Googleagrees),allFeesaredueasstatedintheinvoice. Customer’sobligationtopayallFeesisnon-cancellable. Google'smeasurementofCustomer’suseoftheServicesisfinal. Googlehasnoobligationtoprovidemultiplebills.Payments madeviawiretransfermustincludethebankinformation providedbyGoogle.IfCustomerhasenteredintotheAgreement withGCL,GooglemaycollectpaymentsviaGooglePayment Limited,acompanyincorporatedinEnglandandWaleswith officesatBelgraveHouse,76BuckinghamPalaceRoad,London, SW1W9TQ,UnitedKingdom. 2.3 Taxes. 2.3.1CustomerisresponsibleforanyTaxes,andCustomerwill payGooglefortheServiceswithoutanyreductionforTaxes.If GoogleisobligatedtocollectorpayTaxes,theTaxeswillbe invoicedtoCustomer,unlessCustomerprovidesGooglewitha timelyandvalidtaxexemptioncertificateauthorizedbythe appropriatetaxingauthority.Insomestatesthesalestaxis dueonthetotalpurchasepriceatthetimeofsaleandmustbe invoicedandcollectedatthetimeofthesale.IfCustomeris requiredbylawtowithholdanyTaxesfromitspaymentsto Google,CustomermustprovideGooglewithanofficialtax receiptorotherappropriatedocumentationtosupportsuch withholding.Ifundertheapplicabletaxlegislationthe ServicesaresubjecttolocalVATandtheCustomerisrequired tomakeawithholdingoflocalVATfromamountspayableto Google,thevalueofServicescalculatedinaccordancewiththe aboveprocedurewillbeincreased(grossedup)byCustomerfor therespectiveamountoflocalVATandthegrossedupamount willberegardedasaVATinclusiveprice.LocalVATamount withheldfromtheVAT-inclusivepricewillberemittedtothe applicablelocaltaxentitybytheCustomerandCustomerwill ensurethatGooglewillreceivepaymentforitsservicesforthe netamountaswouldotherwisebedue(theVATinclusiveprice lessthelocalVATwithheldandremittedtoapplicabletax authority). 2.3.2Ifrequiredunderapplicablelaw,Customerwillprovide Googlewithapplicabletaxidentificationinformationthat Googlemayrequiretoensureitscompliancewithapplicabletax regulationsandauthoritiesinapplicablejurisdictions. Customerwillbeliabletopay(orreimburseGooglefor)any taxes,interest,penaltiesorfinesarisingoutofany mis-declarationbytheCustomer. 2.4 InvoiceDisputes&Refunds.Anyinvoice disputesmustbesubmittedbeforethepaymentduedate.If GoogledeterminesthatFeeswereincorrectlyinvoiced,then Googlewillissueacreditequaltotheagreedamount.Tothe fullestextentpermittedbylaw,Customerwaivesallclaims relatingtoFeesunlessclaimedwithin60daysaftercharged (thisdoesnotaffectanyCustomerrightswithitscreditcard issuer).NothingintheAgreementobligatesGoogletoextend credittoanyparty. 2.5 DelinquentPayments;Suspension.If Customer’spaymentisoverdue,thenGooglemay(a)charge interestonoverdueamountsat1.5%permonth(orthehighest ratepermittedbylaw,ifless)fromthePaymentDueDateuntil paidinfull,and(b)SuspendtheServicesorterminatethe Agreement.CustomerwillreimburseGoogleforallreasonable expenses(includingattorneys’fees)incurredbyGooglein collectingoverduepaymentsexceptwheresuchpaymentsaredue toGoogle’sbillinginaccuracies. 2.6 NoPurchaseOrderNumberRequired.Googleis notrequiredtoprovideapurchaseordernumberonGoogle’s invoice(orotherwise). 3. License.  3.1 LicenseGrant.SubjecttotheAgreement's terms,duringtheTerm,GooglegrantstoCustomera non-exclusive,non-transferable,non-sublicensable,licenseto usetheServicesinCustomerApplication(s). 3.2 LicenseRequirementsandRestrictions.The followingareconditionsofthelicensegrantedinSection3.1 (LicenseGrant).InthisSection3.2(LicenseRequirementsand Restrictions),thephrase“Customerwillnot”means“Customer willnot,andwillnotpermitathirdpartyto”. 3.2.1 GeneralRestrictions.Customerwillnot: (a)copy,modify,createaderivativeworkof,reverseengineer, decompile,translate,disassemble,orotherwiseattempt to extractanyorallofthesourcecode(except to theextentsuchrestrictionisexpresslyprohibitedby applicablelaw);(b)sublicense,transfer,ordistributeanyof theServices;(c)sell,resell,sublicense,transfer,or distributetheServices;or(d)accessorusetheServices:(i) forHighRiskActivities;(ii)inamannerintendedtoavoid incurringFees;(iii)formaterialsoractivitiesthatare subjecttotheInternationalTrafficinArmsRegulations(ITAR) maintainedbytheUnitedStatesDepartmentofState;(iv)ina mannerthatbreaches,orcausesthebreachof,ExportControl Laws;or(v)totransmit,store,orprocesshealthinformation subjecttoUnitedStatesHIPAAregulations. 3.2.2 RequirementsforUsingtheServices. (a) TermsofServiceandPrivacyPolicy. (i) TheCustomerApplication’stermsofservicewill(A) notifyusersthattheCustomerApplicationincludesGoogleMaps featuresandcontent;and(B)statethatuseofGoogleMaps featuresandcontentissubjecttothethen-currentversionsof the:(1)GoogleMaps/GoogleEarthAdditionalTermsofService at https://maps.google.com/help/terms_maps.html; and(2)GooglePrivacyPolicy at https://www.google.com/policies/privacy/. (ii) IftheCustomerApplicationallowsuserstoinclude theGoogleMapsCoreServicesinDownstreamProducts,then CustomerwillcontractuallyrequirethatallDownstream Products’termsofservicesatisfythesamenoticeandflow-down requirementsthatapplytotheCustomerApplicationunder Section3.2.2(a)(i)(TermsofServiceandPrivacyPolicy). (iii) IfusersoftheCustomerApplication(andDownstream Products,ifany)failtocomplywiththeapplicabletermsof theGoogleMaps/GoogleEarthAdditionalTermsofService,then Customerwilltakeappropriateenforcementaction,including Suspendingorterminatingthoseusers’useofGoogleMaps featuresandcontentintheCustomerApplicationorDownstream Products. (b) Attribution. Customerwilldisplayall attributionthat(i)GoogleprovidesthroughtheServices (includingbranding,logos,andcopyrightandtrademark notices);or(ii)isspecifiedintheMapsServiceSpecific Terms.Customerwillnotmodify,obscure,ordeletesuch attribution. (c) ReviewofCustomerApplications.AtGoogle’s request,CustomerwillsubmitCustomerApplication(s)and Project(s)toGoogleforreviewtoensurecompliancewiththe Agreement(includingtheAUP). 3.2.3 RestrictionsAgainstMisusingtheServices. (a)  NoScraping.Customerwillnotexport, extract,orotherwisescrapeGoogleMapsContentforuseoutside theServices.Forexample,Customerwillnot:(i)pre-fetch, index,store,reshare,orrehostGoogleMapsContentoutsidethe services;(ii)bulkdownloadGoogleMapstiles,StreetView images,geocodes,directions,distancematrixresults,roads information,placesinformation,elevationvalues,andtimezone details;(iii)copyandsavebusinessnames,addresses,oruser reviews;or(iv)useGoogleMapsContentwithtext-to-speech services. (b) NoCaching. Customerwillnotcache GoogleMapsContentexceptasexpresslypermittedundertheMaps ServiceSpecificTerms. (c) NoCreatingContentFromGoogleMapsContent. CustomerwillnotcreatecontentbasedonGoogleMapsContent. Forexample,Customerwillnot:(i)traceordigitizeroadways, buildingoutlines,utilityposts,orelectricallinesfromthe MapsJavaScriptAPISatellitebasemaptype;(ii)create3D buildingmodelsfrom45°ImageryfromMapsJavaScriptAPI;(iii) buildterrainmodelsbasedonelevationvaluesfromthe ElevationAPI;(iv)uselatitude/longitudevaluesfromthe PlacesAPIasaninputforpoint-in-polygonanalysis;(v) constructanindexoftreelocationswithinacityfromStreet Viewimagery;or(vi)converttext-baseddrivingtimesinto synthesizedspeechresults. (d) NoRe-CreatingGoogleProductsorFeatures. CustomerwillnotusetheServicestocreateaproductor servicewithfeaturesthataresubstantiallysimilartoorthat re-createthefeaturesofanotherGoogleproductorservice. Customer’sproductorservicemustcontainsubstantial, independentvalueandfeaturesbeyondtheGoogleproductsor services.Forexample,Customerwillnot:(i)re-distributethe GoogleMapsCoreServicesorpassthemoffasiftheywere Customer’sservices;(ii)usetheGoogleMapsCoreServicesto createasubstituteoftheGoogleMapsCoreServices,Google Maps,orGoogleMapsmobileapps,ortheirfeatures;(iii)use theGoogleMapsCoreServicesinalistingsordirectoryservice ortocreateoraugmentanadvertisingproduct;(iv)combine datafromtheDirectionsAPI,GeolocationAPI,andMapsSDKfor Androidtocreatereal-timenavigationfunctionality substantiallysimilartothefunctionalityprovidedbythe GoogleMapsforAndroidmobileapp. (e) NoUseWithNon-GoogleMaps.Toavoidquality issuesand/orbrandconfusion,CustomerwillnotusetheGoogle MapsCoreServiceswithornearanon-GoogleMapinaCustomer Application.Forexample,Customerwillnot(i)displayoruse Placescontentonanon-Googlemap,(ii)displayStreetView imageryandnon-Googlemapsonthesamescreen,or(iii)linka GoogleMaptonon-GoogleMapscontentoranon-Googlemap. (f) NoCircumventingFees.Customerwillnot circumventtheapplicableFees.Forexample,Customerwillnot createmultiplebillingaccountsorProjectstoavoidincurring Fees,preventGooglefromaccuratelycalculatingCustomer’s Serviceusagelevels,abuseanyfreeServicequotas,oroffer accesstotheServicesundera“time-sharing”or“service bureau”model. (g) NoUseinProhibitedTerritories.Customer willnotdistributeormarketinaProhibitedTerritoryany CustomerApplication(s)thatusetheGoogleMapsCoreServices. (h) NoUseinEmbeddedVehicleSystems.Customer willnotusetheGoogleMapsCoreServicesinconnectionwith anyCustomerApplicationordeviceembeddedinavehicle.For example,CustomerwillnotcreateaCustomerApplicationthat (i)isembeddedinanin-dashboardautomotiveinfotainment system;and(ii)allowsEndUserstorequestdrivingdirections fromtheDirectionsAPI. (i)  NoUseinCustomerApplicationDirectedTo Children. CustomerwillnotusetheGoogleMapsCore ServicesinaCustomerApplicationthatwouldbedeemedtobea “Websiteoronlineservicedirectedtochildren”underthe Children’sOnlinePrivacyProtectionAct(COPPA). (j) NoModifyingSearchResultsIntegrity. CustomerwillnotmodifyanyoftheGoogleMapsCoreServices’ searchresults. 3.2.4 Benchmarking.Customermaynotpublicly disclosedirectlyorthroughathirdpartytheresultsofany comparativeorcompatibilitytesting,benchmarking,or evaluationoftheServices(each,a“Test”), unlessthedisclosureincludesallinformationnecessaryfor GoogleorathirdpartytoreplicatetheTest.IfCustomer conducts,ordirectsathirdpartytoconduct,aTestofthe Servicesandpubliclydisclosestheresultsdirectlyorthrough athirdparty,thenGoogle(oraGoogledirectedthirdparty) mayconductTestsofanypubliclyavailablecloudproductsor servicesprovidedbyCustomerandpubliclydisclosetheresults ofanysuchTest(whichdisclosurewillincludeallinformation necessaryforCustomerorathirdpartytoreplicatetheTest). 4. CustomerObligations.  4.1 Compliance. Customerwill:(a)ensure thatCustomer’sanditsEndUsers’useoftheServicescomplies withtheAgreement;(b)preventandterminateanyunauthorized useoforaccesstoitsAccount(s)ortheServices;and(c) promptlynotifyGoogleofanyunauthorizeduseoforaccessto itsAccount(s)ortheServicesofwhichCustomerbecomesaware. 4.2 Documentation.Googlemayprovide DocumentationforCustomer’suseoftheServices.The Documentationmayspecifyrestrictions(e.g.attributionorHTML restrictions)onhowtheServicesmaybeusedandCustomerwill complywithanysuchrestrictionsspecified. 4.3 CopyrightPolicy.Googleprovidesinformation tohelpcopyrightholdersmanagetheirintellectualproperty online,butGooglecannotdeterminewhethersomethingisbeing usedlegallywithoutinputfromthecopyrightholders.Google willrespondtonoticesofallegedcopyrightinfringementand mayterminaterepeatinfringersinappropriatecircumstancesas requiredtomaintainsafeharborforonlineserviceproviders undertheU.S.DigitalMillenniumCopyrightAct.IfCustomer believesapersonorentityisinfringingCustomer’sorEnd Users’copyrightsandwouldliketonotifyGoogle,Customercan findinformationaboutsubmittingnotices,andGoogle'spolicy aboutrespondingtonotices at https://www.google.com/dmca.html. 4.4 DataUse,Protection,andPrivacy. 4.4.1 DataUseandRetention.Toprovidethe ServicesthroughtheCustomerApplication(s),Googlecollects andreceivesdatafromCustomerandEndUsers(andEndUsers’ EndUsers,ifany),includingsearchterms,IPaddresses,and latitude/longitudecoordinates.Customeracknowledgesandagrees thatGoogleanditsAffiliatesmayuseandretainthisdatato provideandimproveGoogleproductsandservices,subjecttothe GooglePrivacyPolicy at https://www.google.com/policies/privacy/. 4.4.2 EuropeanDataProtectionTerms.Googleand CustomeragreetotheGoogleMapsController-ControllerData ProtectionTerms at https://cloud.google.com/maps-platform/terms/maps-controller-terms. 4.4.3 EndUserRequirements. (a) EndUserPrivacy. Customer’suseofthe ServicesintheCustomerApplicationwillcomplywithapplicable privacylaws,includinglawsregardingServicesthatstoreand accessCookiesonEndUsers’devices. Customerwill complywiththethen-currentConsentPolicy at https://www.google.com/about/company/user-consent-policy.html, ifapplicable. (b) EndUserPersonalData.Throughthenormal functioningoftheGoogleMapsCoreServices,EndUsersprovide personallyidentifiableinformationandPersonalDatadirectly toGoogle,subjecttothethen-currentGooglePrivacyPolicy at https://www.google.com/policies/privacy/. (a)However,CustomerwillnotprovidetoGoogle(i)anyEnd User’spersonallyidentifiableinformation;or(ii)anyEuropean EndUser’sPersonalData(where“European”means“European EconomicArea,Switzerland,ortheUK”). (c) EndUserLocationPrivacyRequirements.To safeguardEndUsers’locationprivacy,Customerwillensurethat theCustomerApplication(s):(i)notifyEndUsersinadvanceof (1)thetype(s)ofdatathatCustomerintendstocollectfrom theEndUsersortheEndUsers’devices,and(2)thecombination anduseofEndUser'slocationwithanyotherdataprovider's data;and(ii)willnotobtainorcacheanyEndUser'slocation exceptwiththeEndUser'sexpress,prior,revocableconsent. 5. Suspension.  5.1 ForLicenseRestrictions Breaches. GooglemaySuspendtheServiceswithout priornoticeifCustomerbreachesSection3.2 (License RequirementsandRestrictions). 5.2 ForAUPBreachesorEmergencySecurity Issues.GooglemayalsoSuspendServicesasdescribedin Subsections 5.2.1 (AUPBreaches) and 5.2.2 (EmergencySuspension).AnySuspensionunder thoseSectionswillbetotheminimumextentandforthe shortestdurationrequiredto:(a)preventorterminatethe offendinguse,(b)preventorresolvetheEmergencySecurity Issue,or(c)complywithapplicablelaw. 5.2.1 AUPBreaches.IfGooglebecomesawarethat Customer’soranyEndUser’suseoftheServicesbreachesthe AUP,GooglewillgiveCustomernoticeofsuchbreachby requestingthatCustomercorrectthebreach.IfCustomerfails tocorrectsuchbreachwithin24hours,orifGoogleis otherwiserequiredbyapplicablelawtotakeaction,thenGoogle maySuspendallorpartofCustomer’suseoftheServices. 5.2.2 EmergencySuspension.Googlemay immediatelySuspendCustomer’suseoftheServicesif(a)there isanEmergencySecurityIssueor(b)Googleisrequiredto Suspendsuchusetocomplywithapplicablelaw.AtCustomer’s request,unlessprohibitedbyapplicablelaw,Googlewillnotify CustomerofthebasisfortheSuspensionassoonasis reasonablypossible. 5.3 ForAllegedThird-PartyIntellectualProperty RightsInfringement. IftheCustomerApplicationis allegedtoinfringeathirdparty’sIntellectualProperty Rights,GooglemayrequireCustomertosuspendalluseofthe GoogleMapsCoreServicesintheCustomerApplicationon30 days’writtennoticeuntilsuchallegationisfullyresolved.In anyevent,thisSection5.3(ForAllegedThird-Party IntellectualPropertyRightsInfringement)doesnotreduce Customer’sobligationsunder Section 15 (Indemnification). 6. IntellectualPropertyRights; Feedback. 6.1 IntellectualPropertyRights.Exceptas expresslystatedintheAgreement,theAgreementdoesnotgrant eitherpartyanyrights,impliedorotherwise,totheother’s contentoranyoftheother’sintellectualproperty.Asbetween theparties,CustomerownsallIntellectualPropertyRightsin theCustomerApplication,andGoogleownsallIntellectual PropertyRightsintheGoogleMapsCoreServices. 6.2 CustomerFeedback.IfCustomerprovides GoogleFeedbackabouttheServices, then Googlemay usethatinformationwithoutobligationto Customer, and CustomerirrevocablyassignstoGoogle allright,title,andinterestinthatFeedback. 7. ThirdPartyLegalNoticesandLicense Terms.  CertaincomponentsoftheServices(includingopensource software)aresubjecttothird-partycopyrightandother IntellectualPropertyRights,asspecifiedin:(a)theGoogle Maps/GoogleEarthLegalNotices at https://www.google.com/help/legalnotices_maps.html; and(b)separate,publicly-availablethird-partylicenseterms, whichGooglewillprovidetoCustomeronrequest. 8. TechnicalSupportServices. 8.1 ByGoogle. GooglewillprovideMaps TechnicalSupportServicestoCustomerinaccordancewiththe MapsTechnicalSupportServicesGuidelines. 8.2 ByCustomer. Customerisresponsible fortechnicalsupportofitsCustomerApplicationsandProjects. 9. DeprecationPolicy.   GooglewillnotifyCustomeratleast12monthsbefore makingaSignificantDeprecation,unlessGooglereasonably determinesthat:(a)Googlecannotdosobylaworbycontract (includingifthereisachangeinapplicablelaworcontract) or(b)continuingtoprovidetheServicescouldcreatea securityriskorsubstantialeconomicortechnicalburden. 10. Confidentiality. 10.1 ConfidentialityObligations.Subjectto Section10.2(RequiredDisclosure),therecipientwillusethe otherparty’sConfidentialInformationonlytoexerciseits rightsandfulfillitsobligationsundertheAgreement.The recipientwillusereasonablecaretoprotectagainstdisclosure oftheotherparty’sConfidentialInformationtopartiesother thantherecipient’semployees,Affiliates,agents,or professionaladvisors(“Delegates”)whoneedtoknowitandare subjecttoconfidentialityobligationsatleastasprotectiveas thoseinthisSection10.1(ConfidentialityObligations). 10.2 RequiredDisclosure. 10.2.1 SubjecttoSection10.2.2,therecipientandits Affiliatesmaydisclosetheotherparty’sConfidential InformationtotheextentrequiredbyapplicableLegalProcess, IftherecipientanditsAffiliates(asapplicable)use commerciallyreasonableeffortsto:(a)promptlynotifythe otherpartyofsuchdisclosurebeforedisclosing;and(b)comply withtheotherparty’sreasonablerequestsregardingitsefforts toopposethedisclosure. 10.2.2 Sections10.2.1(a)and(b)abovewillnotapplyif therecipientdeterminesthatcomplyingwith(a)and(b)could: (i)resultinaviolationofLegalProcess;(ii)obstructa governmentalinvestigation;or(iii)leadtodeathorserious physicalharmtoanindividual. 10.2.3 Asbetweentheparties,Customerisresponsiblefor respondingtoallthirdpartyrequestsconcerningitsuseand CustomerEndUsers’useoftheServices. 11. TermandTermination. 11.1 AgreementTerm.TheAgreementiseffective fromtheEffectiveDateuntilitisterminatedinaccordance withitsterms(the“Term”). 11.2 TerminationforBreach.Eitherpartymay terminatetheAgreementforbreachif:(a)theotherpartyisin materialbreachoftheAgreementandfailstocurethatbreach within 30 daysafterreceiptofwrittennotice;(b) theotherpartyceasesitsbusinessoperations;or(c)becomes subjecttoinsolvencyproceedingsandtheproceedingsarenot dismissedwithin 90 days. Googlemayterminate ProjectsoraccesstoServices,ifCustomermeetsanyofthe conditionsin subsections(a)or(b). 11.3 TerminationforInactivity. Googlemay terminate Projectswith30days'priorwrittennoticeif suchProject(a)hasnotmadeanyrequeststotheServicesfrom anyCustomerApplicationsformorethan180days;or(b)hasnot incurredanyFeesformorethan180days. 11.4 TerminationforConvenience.Customermay stopusingtheServicesatanytime.Subjecttoanyfinancial commitmentsexpresslymadebythisAgreement,Customermay terminatetheAgreementforitsconvenienceatanytimewith30 days'priorwrittennotice.GooglemayterminatetheAgreement foritsconvenienceatanytimewithoutliabilitytoCustomer. 11.5 EffectsofTermination.  11.5.1 IftheAgreementterminates,then:(a)therights andaccesstotheServiceswillterminate;(b)allFeesowedby CustomertoGoogleareimmediatelydueuponreceiptofthefinal electronicbill;and(c)CustomerwilldeletetheSoftwareand anycontentfromtheServicesbytheterminationeffectivedate. 11.5.2 Thefollowingwillsurviveexpirationor terminationoftheAgreement: Section2(PaymentTerms), Section3.2(LicenseRequirementsandRestrictions),Section 4.4 (DataUse,Protection,andPrivacy), Section6 (IntellectualProperty;Feedback),Section10(Confidential Information),Section11.5(EffectsofTermination),Section14 (Disclaimer),Section15(Indemnification),Section16 (LimitationofLiability),Section19(Miscellaneous),and Section21(Definitions). 12. Publicity. Customermaystatepubliclythatitisacustomerofthe Services,consistentwiththeTrademarkGuidelines.IfCustomer wantstodisplayGoogleBrandFeaturesinconnectionwithits useoftheServices,Customermustobtainwrittenpermission fromGooglethroughtheprocessspecifiedintheTrademark Guidelines.GooglemayincludeCustomer’snameorBrandFeatures inalistofGooglecustomers,onlineorinpromotional materials.GooglemayalsoverballyreferenceCustomerasa customeroftheServices.Neitherpartyneedsapprovalifitis repeatingapublicstatementthatissubstantiallysimilartoa previously-approvedpublicstatement.Anyuseofaparty’sBrand Featureswillinuretothebenefitofthepartyholding IntellectualPropertyRightstothoseBrandFeatures.Aparty mayrevoketheotherparty’srighttouseitsBrandFeatures underthisSectionwithwrittennoticetotheotherpartyanda reasonableperiodtostoptheuse. 13. RepresentationsandWarranties. Eachpartyrepresentsandwarrantsthat:(a)ithasfullpower andauthoritytoenterintotheAgreement;and(b)itwill complywith ExportControlLawsandAnti-Bribery Laws applicabletoitsprovision,receipt,oruse,ofthe Services,asapplicable. 14. Disclaimer.  EXCEPTASEXPRESSLYPROVIDEDFORINTHEAGREEMENT,TOTHE FULLESTEXTENTPERMITTEDBYAPPLICABLELAW,GOOGLE:(A) DOES NOTMAKEANYWARRANTIESOFANYKIND,WHETHEREXPRESS, IMPLIED,STATUTORY,OROTHERWISE,INCLUDINGWARRANTIESOF MERCHANTABILITY,FITNESSFORAPARTICULARUSE,NONINFRINGEMENT, ORERROR-FREEORUNINTERRUPTEDUSEOFTHESERVICESORSOFTWARE; (B)MAKES NOREPRESENTATIONABOUTCONTENTORINFORMATION ACCESSIBLETHROUGHTHESERVICES;AND(C)WILLONLYBEREQUIRED TOPROVIDETHEREMEDIESEXPRESSLYSTATEDINTHESLAFORFAILURE TOPROVIDETHESERVICES. GOOGLEMAPSCORESERVICESARE PROVIDEDFORPLANNINGPURPOSESONLY. INFORMATIONFROMTHE GOOGLEMAPSCORESERVICESMAYDIFFERFROMACTUALCONDITIONS,AND MAYNOTBESUITABLEFORTHECUSTOMERAPPLICATION. CUSTOMER MUSTEXERCISEINDEPENDENTJUDGMENTWHENUSINGTHESERVICES TO ENSURETHAT(i)GOOGLEMAPSARESUITABLEFORTHE CUSTOMERAPPLICATION;AND(ii)THECUSTOMERAPPLICATIONISSAFE FORENDUSERSANDOTHERTHIRDPARTIES. 15. Indemnification. 15.1 CustomerIndemnificationObligations.Unless prohibitedbyapplicablelaw, CustomerwilldefendGoogle anditsAffiliatesandindemnifythemagainst Indemnified Liabilities inanyThird-PartyLegalProceedingtothe extentarisingfrom(a)any CustomerIndemnified Materials or(b)Customer’soranEndUser’suseofthe ServicesinviolationoftheAUPorinviolationofthe Agreement. 15.2 GoogleIndemnification Obligations. GooglewilldefendCustomerandits AffiliatesparticipatingundertheAgreement(“Customer IndemnifiedParties”),andindemnifythemagainstIndemnified LiabilitiesinanyThird-PartyLegalProceedingtotheextent arisingfromanAllegationthatCustomerIndemnifiedParties' useofGoogleIndemnifiedMaterialsinfringesthethirdparty's IntellectualPropertyRights. 15.3 IndemnificationExclusions. Sections 15.1(CustomerIndemnificationObligations)and15.2(Google IndemnificationObligations)willnotapplytotheextentthe underlyingAllegationarisesfrom(a) theindemnified party’sbreachoftheAgreementor (b)acombinationofthe CustomerIndemnifiedMaterialsorGoogleIndemnifiedMaterials (asapplicable)swithmaterialsnotprovidedbytheindemnifying party,unlessthecombinationisrequired by the Agreement. 15.4 IndemnificationConditions.Sections15.1 (CustomerIndemnificationObligations)and15.2(Google IndemnificationObligations)areconditionedonthefollowing: (a) Theindemnifiedpartymustpromptlynotifythe indemnifyingpartyinwritingofanyAllegation(s)thatpreceded theThird-PartyLegalProceedingandcooperatereasonablywith theindemnifyingpartytoresolvetheAllegation(s)and Third-PartyLegalProceeding.IfbreachofthisSection15.4(a) prejudicesthedefenseoftheThird-PartyLegalProceeding,the indemnifyingparty’sobligationsunderSection15.1(Customer IndemnificationObligations)or15.2(GoogleIndemnification Obligations)(asapplicable)willbereducedinproportionto theprejudice. (b) Theindemnifiedpartymusttendersolecontrolofthe indemnifiedportionoftheThird-PartyLegalProceedingtothe indemnifyingparty,subjecttothefollowing:(i)the indemnifiedpartymayappointitsownnon-controllingcounsel, atitsownexpense;and(ii)anysettlementrequiringthe indemnifiedpartytoadmitliability,paymoney,ortake(or refrainfromtaking)anyaction,willrequiretheindemnified party’spriorwrittenconsent,nottobeunreasonablywithheld, conditioned,ordelayed. 15.5 Remedies. (a) IfGooglereasonablybelievestheServicesmight infringeathirdparty’sIntellectualPropertyRights,then Googlemay,atitssoleoptionandexpense:(i)procurethe rightforCustomertocontinueusingtheServices;(ii)modify theServicestomakethemnon-infringingwithoutmaterially reducingtheirfunctionality;or(iii)replacetheServiceswith anon-infringing,functionallyequivalentalternative. (b) IfGoogledoesnotbelievetheremediesinSection 15.5(a)arecommerciallyreasonable,thenGooglemaySuspendor terminateCustomer’suseoftheimpactedServices. 15.6 SoleRightsandObligations.Without affectingeitherparty’sterminationrights,thisSection15 statestheparties’soleandexclusiveremedyunderthe AgreementforanyAllegationsofIntellectualPropertyRights infringementcoveredbythisSection15(Indemnification). 16. Liability. 16.1 LimitedLiabilities (a) Totheextentpermittedbyapplicablelawandsubject toSection16.2(UnlimitedLiabilities),neitherpartyand Google’slicensorswillhaveanyLiabilityarisingoutofor relatingtotheAgreementforany(i)indirect,consequential, special,incidental,orpunitivedamagesor(ii)lostrevenues, profits,savings,orgoodwill. (b) Eachparty’stotalaggregateLiabilityfordamages arisingoutoforrelatingtotheAgreementislimitedtothe FeesCustomerpaidundertheAgreementduringthe12month periodbeforetheeventgivingrisetoLiability. 16.2 UnlimitedLiabilities.NothingintheAgreement excludesorlimitseitherparty’sLiabilityfor: (a) itsinfringementoftheotherparty’sIntellectual PropertyRights (b) itspaymentobligationsundertheAgreement;or (c) mattersforwhichliabilitycannotbeexcludedor limitedunderapplicablelaw. 17. Advertising. Initssolediscretion,CustomermayconfiguretheServiceto eitherdisplayornotdisplayadvertisementsservedbyGoogle. 18. U.S.FederalAgencyUsers. TheServicesweredevelopedsolelyatprivateexpenseandare commercialcomputersoftwareandrelateddocumentationwithin themeaningoftheapplicableFederalAcquisitionRegulations andtheiragencysupplements. 19. Miscellaneous. 19.1 Notices.Allnoticesmustbeinwritingand addressed:(a)inthecaseofGoogle,toGoogle’sLegal Departmentat [email protected];and(b)inthecase ofCustomer,totheNotificationEmailAddress.Noticewillbe treatedasgivenonreceiptasverifiedbywrittenorautomated receiptorbyelectroniclog(asapplicable). 19.2 Assignment.Customermaynotassignthe AgreementwithoutthewrittenconsentofGoogle,excepttoan Affiliatewhere:(a)theassigneehasagreedinwritingtobe boundbythetermsoftheAgreement;(b)theassigningparty remainsliableforobligationsundertheAgreementifthe assigneedefaultsonthem;and(c)theassigningpartyhas notifiedtheotherpartyoftheassignment.Anyotherattemptby Customertoassignisvoid.GooglemayassigntheAgreement withoutthewrittenconsentofCustomerbynotifyingCustomerof theassignment. 19.3 ChangeofControl.Ifapartyexperiencesa changeofControlotherthananinternalrestructuringor reorganization,then:(a)thatpartywillgivewrittennoticeto theotherpartywithin30daysafterthechangeofControl;and (b)theotherpartymayimmediatelyterminatetheAgreementany timebetweenthechangeofControland30daysafteritreceives thatwrittennotice. 19.4 ForceMajeure.Neitherpartywillbeliable forfailureordelayinperformancetotheextentcausedby circumstancesbeyonditsreasonablecontrol, includingacts ofGod,naturaldisasters,terrorism,riots,orwar. 19.5 Subcontracting.Googlemaysubcontract obligationsunder the Agreementbutwillremainliable toCustomerforanysubcontractedobligations. 19.6 NoAgency.TheAgreementdoesnotcreateany agency,partnershiporjointventurebetweentheparties. 19.7 NoWaiver.Neitherpartywillbetreatedas havingwaivedanyrightsbynotexercising(ordelayingthe exerciseof)anyrightsundertheAgreement. 19.8 Severability.IfanypartoftheAgreement isinvalid,illegal,orunenforceable,therestoftheAgreement willremainineffect. 19.9 NoThird-PartyBeneficiaries.TheAgreement doesnotconferanybenefitsonanythirdpartyunlessit expresslystatesthatitdoes. 19.10 EquitableRelief.NothingintheAgreement willlimiteitherparty’sabilitytoseekequitablerelief. 19.11 GoverningLaw. (a) ForU.S.City,County,andStateGovernment Entities.IfCustomerisaU.S.city,countyorstate governmententity,thentheAgreementwillbesilentregarding governinglawandvenue. (b) ForU.S.FederalGovernmentEntities.If CustomerisaU.S.federalgovernmententitythenthefollowing applies:ALLCLAIMSARISINGOUTOFORRELATINGTOTHEAGREEMENT ORTHESERVICESWILLBEGOVERNEDBYTHELAWSOFTHEUNITED STATESOFAMERICA,EXCLUDINGITSCONFLICTOFLAWSRULES.SOLELY TOTHEEXTENTPERMITTEDBYFEDERALLAW:(I)THELAWSOFTHE STATEOFCALIFORNIA(EXCLUDINGCALIFORNIA’SCONFLICTOFLAWS RULES)WILLAPPLYINTHEABSENCEOFAPPLICABLEFEDERALLAW;AND (II)FORALLCLAIMSARISINGOUTOFORRELATINGTOTHEAGREEMENT ORTHESERVICES,THEPARTIESCONSENTTOPERSONALJURISDICTION IN,ANDTHEEXCLUSIVEVENUEOF,THECOURTSINSANTACLARA COUNTY,CALIFORNIA. (c) ForAllOtherEntities.IfCustomerisany entitynotlistedinSection19.11(A)(ForU.S.City,County, andStateGovernmentEntities)or19.11(B)(ForU.S.Federal GovernmentEntities) thenthefollowingapplies:ALLCLAIMS ARISINGOUTOFORRELATINGTOTHEAGREEMENTORTHESERVICESWILL BEGOVERNEDBYCALIFORNIALAW,EXCLUDINGTHATSTATE’SCONFLICT OFLAWSRULES,ANDWILLBELITIGATEDEXCLUSIVELYINTHEFEDERAL ORSTATECOURTSOFSANTACLARACOUNTY,CALIFORNIA,USA;THE PARTIESCONSENTTOPERSONALJURISDICTIONINTHOSECOURTS. 19.12 Amendments.Exceptasstated in Section1.6.2(Modifications;Tothe Agreement),  anyamendmenttotheAgreementmustbein writing,expresslystatethatitisamendingthisAgreement,and besignedbybothparties. 19.13 EntireAgreement.TheAgreementstatesall termsagreedbetweenthepartiesandsupersedesanyprioror contemporaneousagreementsbetweenthepartiesrelatingtoits subjectmatter.InenteringintothisAgreement,neitherparty hasreliedon,andneitherpartywillhaveanyrightorremedy basedon,anystatement,representationorwarranty(whether madenegligentlyorinnocently),exceptthoseexpresslystated intheAgreement.TheAgreementincludesURLlinkstoother terms(includingtheURLTerms),whichareincorporatedby referenceintotheAgreement.AftertheEffectiveDate,Google mayprovideanupdatedURLinplaceofanyURLintheAgreement. 19.14 ConflictingTerms.Ifthereisaconflict betweenthedocumentsthatmakeuptheAgreement,thenthe documentswillcontrolinthefollowingorder:theAgreementand thetermsatanyURL.  19.15 ConflictingLanguages.IftheAgreementis translatedintoanyotherlanguage,andthereisadiscrepancy betweentheEnglishtextandthetranslatedtext,theEnglish textwillgovern. 20. ResellerOrders. ThisSectionappliesifCustomerorderstheServicesfroma ResellerunderaResellerAgreement(includingtheReseller OrderForm). 20.1 Orders.IfCustomerordersServicesfrom Reseller,then:(a)feesfortheServiceswillbesetbetween CustomerandReseller,andanypaymentswillbemadedirectlyto ResellerundertheResellerAgreement;(b)Section2ofthe Agreement(PaymentTerms)willnotapplytotheServices;(c) CustomerwillreceiveanyapplicableSLAcreditsfromReseller, ifowedtoCustomerinaccordancewiththeSLA;and(d)Google willhavenoobligationtoprovideanySLAcreditstoaCustomer whoordersServicesfromtheReseller. 20.2 ConflictingTerms.IfCustomerordersGoogle MapsCoreServicesfromaResellerandifanydocuments conflict,thenthedocumentswillcontrolinthefollowing order:theAgreement,thetermsatanyURL(includingtheURL Terms),andtheResellerOrderForm.Forexample,ifthereisa conflictbetweentheMapsServiceSpecificTermsandthe ResellerOrderForm,theMapsServiceSpecificTermswill control. 20.3 ResellerasAdministrator.AtCustomer's discretion,ResellermayaccessCustomer'sProjects,Accounts, ortheServicesonbehalfofCustomer.AsbetweenGoogleand Customer,Customerissolelyresponsiblefor:(a)anyaccessby ResellertoCustomer’sAccount(s),Project(s),ortheServices; and(b)definingintheResellerAgreementanyrightsor obligationsasbetweenResellerandCustomerwithrespecttothe Accounts,Projects,orServices. 20.4 ResellerVerificationofCustomer Application(s).BeforeprovidingtheServices,Reseller mayalsoverifythatCustomerownsorcontrolstheCustomer Applications.IfResellerdeterminesthatCustomerdoesnotown orcontroltheCustomerApplications,thenGooglewillhaveno obligationtoprovidetheServicestoCustomer. 21. Definitions. "Account"meansCustomer’sGoogle Account. "AdminConsole"meanstheonlineconsole(s)and/or tool(s)providedbyGoogletoCustomerforadministeringthe Services. "Affiliate"meansanyentitythatdirectlyor indirectlyControls,isControlledby,orisundercommon Controlwithaparty. "Allegation"meansanunaffiliatedthirdparty’s allegation. “Anti-BriberyLaws”means allapplicable commercialandpublicanti-briberylaws,(forexample,theU.S. ForeignCorruptPracticesActof1977andtheUKBriberyAct 2010),whichprohibitcorruptoffersofanythingofvalue, eitherdirectlyorindirectly,toanyone,includinggovernment officials,toobtainorkeepbusinessortosecureanyother impropercommercialadvantage.“Governmentofficials”include anygovernmentemployee;candidateforpublicoffice;and employeeofgovernment-ownedorgovernment-controlledcompanies, publicinternationalorganizations,andpoliticalparties. "AUP" or"AcceptableUse Policy" meansthe then-current Acceptable Use PolicyfortheServices described at https://cloud.google.com/maps-platform/terms/aup/. "BrandFeatures"meanseachparty’stradenames, trademarks,servicemarks,logos,domainnames,andother distinctivebrandfeatures. "ConfidentialInformation"meansinformationthatone party(oranAffiliate)disclosestotheotherpartyunderthis Agreement,andwhichismarkedasconfidentialorwouldnormally underthecircumstancesbeconsideredconfidentialinformation. Itdoesnotincludeinformationthatisindependentlydeveloped bytherecipient,isrightfullygiventotherecipientbya thirdpartywithoutconfidentialityobligations,orbecomes publicthroughnofaultoftherecipient. "Control"meanscontrolofgreaterthan50%ofthe votingrightsorequityinterestsofaparty. "CustomerApplication"meansanywebpageor application(includingallsourcecodeandfeatures)ownedor controlledbyCustomer,orthatCustomerisauthorizedtouse. "CustomerEndUser" or"End User" means anindividualorentitythat CustomerpermitstousetheServicesorCustomerApplication(s). “CustomerIndemnifiedMaterials”meanstheCustomer ApplicationandCustomerBrandFeatures. "Documentation"meansthethen-currentGoogle documentationdescribed at https://developers.google.com/maps/documentation. "EmergencySecurityIssue"meanseither:(a) Customer’sorCustomerEndUsers’useoftheServicesinbreach oftheAUP,whichsuchusecoulddisrupt:(i)theServices;(ii) othercustomers’ortheircustomerendusers’useofthe Services;or(iii)theGooglenetworkorserversusedtoprovide theServices;or(b)unauthorizedthirdpartyaccesstothe Services. "Europe"or"European"meansEuropean EconomicArea,Switzerland,ortheUK. “ExportControlLaws”meansallapplicableexportand re-exportcontrollawsandregulations,includinganyapplicable munitions-ordefense-relatedregulations(forexample,the InternationalTrafficinArmsRegulationsmaintainedbytheU.S. DepartmentofState). "FeeAccrualPeriod"meansacalendarmonthoranother periodspecifiedbyGoogleintheAdminConsole. "FeeThreshold"meansthethen-currentthreshold,as applicableforcertainServices,assetoutintheAdmin Console. “Feedback”meansfeedbackorsuggestionsaboutthe ServicesprovidedbyCustomertoGoogle. "Fees"meanstheproductoftheamountofServices usedororderedbyCustomermultipliedbythePrices,plusany applicableTaxes. "Google"hasthemeaninggiven at https://cloud.google.com/terms/google-entity. "GoogleIndemnifiedMaterials"meansGoogle's technologyusedtoprovidetheServices(excludinganyopen sourcesoftware)andGoogle'sBrandFeatures. "GoogleMapsContent"meansanycontentprovided throughtheServices(whethercreatedbyGoogleorits third-partylicensors),includingmapandterraindata,imagery, trafficdata,andplacesdata(includingbusinesslistings). "HighRiskActivities"means activitieswherethe useorfailureoftheServicescouldleadtodeath,personal injury,orenvironmentaldamage,including (a)emergency responseservices;(b) autonomousandsemi-autonomous vehicleordronecontrol;(c) vesselnavigation;(d) aviation;(e)airtrafficcontrol;(f)nuclearfacilities operation. "HIPAA"meanstheHealthInsurancePortabilityand AccountabilityActof1996asitmaybeamended,andany regulationsissuedunderit. "IndemnifiedLiabilities"meansany(a)settlement amountsapprovedbytheindemnifyingparty;and(b)damagesand costsfinallyawardedagainsttheindemnifiedpartyandits Affiliatesbyacourtofcompetentjurisdiction. "including"means"includingbutnotlimitedto". "IntellectualPropertyRights"meansallpatent rights,copyrights,trademarkrights,rightsintradesecrets (ifany),designrights,databaserights,domainnamerights, moralrights,andanyotherintellectualpropertyrights (registeredorunregistered)throughouttheworld. "LegalProcess"meansaninformationdisclosure requestmadeunderlaw,governmentalregulation,courtorder, subpoena,warrant,governmentalregulatoryoragencyrequest,or othervalidlegalauthority,legalprocedure,orsimilar process. "Liability"meansanyliability,whetherunder contract,tort(includingnegligence),orotherwise,regardless ofwhetherforeseeableorcontemplatedbytheparties. "MapsServiceSpecificTerms"meansthethen-current termsspecifictooneormoreServicesdescribed at https://cloud.google.com/maps-platform/terms/maps-service-terms/. "MapsTechnicalSupportServices"meansthetechnical supportserviceprovidedbyGoogletoCustomerunderthe then-currentMapsTechnicalSupportServicesGuidelines. "MapsTechnicalSupportServicesGuidelines"meansthe then-currenttechnicalsupportserviceguidelinesdescribed at https://cloud.google.com/maps-platform/terms/tssg/. "PersonalData"hasthemeaninggiventoitin:(a) Regulation(EU)2016/679oftheEuropeanParliamentandofthe Councilof27April2016ontheprotectionofnaturalpersons withregardtotheprocessingofpersonaldataandonthefree movementofsuchdata,andrepealingDirective95/46/EC(“EU GDPR”);or(b)theEUGDPRasamendedandincorporatedintoUK lawundertheUKEuropeanUnion(Withdrawal)Act2018(“UK GDPR”),ifinforce,asapplicable. "NotificationEmailAddress"meanstheemail address(es)designatedbyCustomerintheAdminConsole. "Price"meansthethen-currentapplicableprice(s) stated at https://cloud.google.com/maps-platform/pricing/sheet/. "ProhibitedTerritory"meansthecountrieslisted at https://cloud.google.com/maps-platform/terms/maps-prohibited-territories/. "Project" meansaCustomer-selectedgroupingof GoogleMapsCoreServicesresourcesforaparticularCustomer Application. "Reseller" means,ifapplicable,theauthorized unaffiliatedthird-partyresellerthatsellsorsuppliesthe ServicestoCustomer. "ResellerAgreement" means,ifapplicable,a separate,independentagreementbetweenCustomerandReseller regardingtheServices. "ResellerOrderForm" meansanorderformentered intobyResellerandCustomer,subjecttotheReseller Agreement. "Services"and"GoogleMapsCore Services" meanstheservicesdescribed at https://cloud.google.com/maps-platform/terms/maps-services/. TheServicesincludetheGoogleMapsContentandtheSoftware. "SignificantDeprecation" meansamaterial discontinuanceorbackwardsincompatiblechangetotheGoogle MapsCoreServicesdescribed at https://cloud.google.com/maps-platform/terms/maps-deprecation/. "SLA" or"Service Level Agreement" meanseachofthethen-currentservice levelagreements at: https://cloud.google.com/maps-platform/terms/sla/. "Software"meansanydownloadabletools,software developmentkits,orothercomputersoftwareprovidedbyGoogle foruseaspartoftheServices,includingupdates. "Suspend"or"Suspension "means disablingaccesstooruseoftheServicesorcomponentsofthe Services. "Taxes"meansanyduties,customsfees,or government-imposedtaxesassociatedwiththepurchaseofthe Services,includinganyrelatedpenaltiesorinterest,except fortaxesbasedonGoogle’snetincome,networth,assetvalue, propertyvalue,oremployment. "Term"hasthemeaningstatedin Section 11.1 oftheAgreement. “TermsURL”meansthefollowingURLsetforth here: https://cloud.google.com/maps-platform/terms/. "Third-PartyLegalProceeding"meansanyformallegal proceedingfiledbyanunaffiliatedthirdpartybeforeacourt orgovernmenttribunal(includinganyappellateproceeding). "TrademarkGuidelines" means(a)Google’sBrand TermsandConditions,located at: https://www.google.com/permissions/trademark/brand-terms.html and (b)the“UseofTrademarks”sectionofthe“UsingGoogleMaps, GoogleEarthandStreetView”permissionspage at https://www.google.com/permissions/geoguidelines.html#geotrademark policy. “URLTerms”meansthefollowing,whichwillcontrolin thefollowingorderifthereisaconflict: (a)theMapsServiceSpecificTerms; (b)theSLA; (c)theAUP; (d)theMapsTechnicalSupportServicesGuidelines; (e)theLegalNoticesforGoogleMaps/GoogleEarthandGoogle Maps/GoogleEarthAPIs at https://www.google.com/help/legalnotices_maps.html; and (f)theGoogleMaps/GoogleEarthAdditionalTermsofService at https://maps.google.com/help/terms_maps.html. 22. RegionalTerms. CustomeragreestothefollowingmodificationstotheAgreement ifCustomerordersServicesfromtheapplicableGoogleentityas describedbelow: AsiaPacific-Indonesia PTGoogleCloudIndonesia 1. ThefollowingisaddedasSection11.6 (TerminationWaiver): 11.6 TerminationWaiver.Theparties agreetowaiveanyprovisionsunderanyapplicable lawstotheextentthatacourtdecisionororderis requiredfortheterminationofthisAgreement. 2. Section19.11(GoverningLaw)isdeletedand replacedwiththefollowing: 19.11 GoverningLaw. (a) Thepartieswilltryingoodfaithtosettle anydisputewithin30daysafterthedisputearises. Ifthedisputeisnotresolvedwithin30days,itmust beresolvedbyarbitrationbytheAmericanArbitration Association’sInternationalCentreforDispute ResolutioninaccordancewithitsExpeditedCommercial RulesinforceasofthedateoftheAgreement ("Rules"). (b) Thepartieswillmutuallyselectone arbitrator.Thearbitrationwillbeconductedin EnglishinSantaClaraCounty,California,USA. (c) Eitherpartymayapplytoanycompetent courtforinjunctivereliefnecessarytoprotectits rightspendingresolutionofthearbitration.The arbitratormayorderequitableorinjunctiverelief consistentwiththeremediesandlimitationsinthe Agreement. (d) Subjecttotheconfidentialityrequirements inSection19.11(f),eitherpartymaypetitionany competentcourttoissueanyordernecessaryto protectthatparty’srightsorproperty;thispetition willnotbeconsideredaviolationorwaiverofthis governinglawandarbitrationsectionandwillnot affectthearbitrator’spowers,includingthepowerto reviewthejudicialdecision.Thepartiesstipulate thatthecourtsofSantaClaraCounty,California, USA,arecompetenttograntanyorderunderthis Section19.11(d). (e) Thearbitralawardwillbefinalandbinding onthepartiesanditsexecutionmaybepresentedin anycompetentcourt,includinganycourtwith jurisdictionovereitherpartyoranyofitsproperty. (f) Anyarbitrationproceedingconductedin accordancewiththisSectionwillbeconsidered ConfidentialInformationundertheAgreement’s confidentialitysection,including(i)theexistence of,(ii)anyinformationdisclosedduring,and(iii) anyoralcommunicationsordocumentsrelatedtothe arbitrationproceedings.Thepartiesmayalsodisclose theinformationdescribedinthisSection19.11(f)to acompetentcourtasmaybenecessarytofileany orderunderSection19.11(d)orexecuteanyarbitral decision,butthepartiesmustrequestthatthose judicialproceedingsbeconductedincamera(in private). (g) Thepartieswillpaythearbitrator’sfees, thearbitrator’sappointedexperts’feesandexpenses, andthearbitrationcenter’sadministrativeexpenses inaccordancewiththeRules.Initsfinaldecision, thearbitratorwilldeterminethenon-prevailing party’sobligationtoreimbursetheamountpaidin advancebytheprevailingpartyforthesefees. (h) Eachpartywillbearitsownlawyers’and experts’feesandexpenses,regardlessofthe arbitrator’sfinaldecisionregardingtheDispute. (i) Thepartiesagreethatadecisionofthe arbitratorsneednottobemadewithinanyspecific timeperiod. 3. Section19.15(ConflictingLanguages)is deletedandreplacedwiththefollowing: 19.15 ConflictingLanguages. This AgreementismadeintheIndonesianandtheEnglish language,andbothversionsareequallyauthentic.In theeventofanyinconsistencyordifferent interpretationbetweentheIndonesianversionandthe Englishversion,thepartiesagreetoamendthe Indonesianversiontomaketherelevantpartofthe Indonesianversionconsistentwiththerelevantpart oftheEnglishversion.
