ngaftertheDistributionDate,and,inthecaseofanyStraddlePeriod,theportionofsuchStraddlePeriodbeginningthedayaftertheDistributionDate.PeakPeriodmeansthetimebetween6a.m.and10p.m.(AprilthroughSeptember)orbetween7a.m.and11p.m.(OctoberthroughMarch)onalldaysexceptSaturdaysandSundays,whichdailytimeperiodwillbesubjecttochangefromtimetotimeattheCompany'soption.Thischangewouldoccurafternolessthanten(10)daysnoticehasbeengiventoallCustomerswhowouldbeaffected,andtotheCommission.ProductionPeriodmeanstheperiodbeginningwithpreproductionandendinguponcompletionofpostproduction.DeterminationPeriodmeanseachperiodfrom(andincluding)aDeterminationDateto(butexcluding)thenextDeterminationDate(including,whereeithertheInterestCommencementDateorthefinalInterestPaymentDateisnotaDeterminationDate,theperiodcommencingonthefirstDeterminationDatepriorto,andendingonthefirstDeterminationDatefallingafter,suchdate);andProgramPeriodmeanstheperiodoftimewhichthedepartmentintendstosupporttheprogramwithoutrequiringtherecompetitionforfunds.Theprogramperiodisspecifiedwithinthegrantapplication.FirstYearmeanstheintakegroupofStudentsforthemostjuniorclassoryearinaschool.SalesYearmeansthecalendaryearduringwhichtheCompanysoldCigarettesinaBeneficiaryStaterequiringthedepositofQEFPrincipal.Semi-AnnualDistributionDatemeansthe"DistributionDates"setforthunder"SummaryofEssentialFinancialInformation--EstimatedDistributions--Semi-AnnualDistributions"intheProspectusPartIforaTrust.Semi-AnnualPeriodmeanseachof:theperiodbeginningonandincludingJanuary1andendingonandincludingJune30;andtheperiodbeginningonandincludingJuly1andendingonandincludingDecember31.PEAPeriodmeanstheperiodcommencingat9:30a.m.,Easterntime,onthefifth(5th)BusinessDayimmediatelypriortothefilingofanypost-effectiveamendmenttotheRegistrationStatement(asdefinedherein)orNewRegistrationStatement(assuchtermisdefinedintheRegistrationRightsAgreement),andendingat9:30a.m.,Easterntime,ontheBusinessDayimmediatelyfollowing,theeffectivedateofanypost-effectiveamendmenttotheRegistrationStatement(asdefinedherein)orNewRegistrationStatement(assuchtermisdefinedintheRegistrationRightsAgreement).AcquisitionPeriodmeanstheperiodbeginningwiththedateonwhichpaymentofthepurchasepriceforaSpecifiedAcquisitionismadeandendingontheearlierof(a)thelastdayofthesecondfullfiscalquarterfollowingthefiscalquarterinwhichsuchpaymentismade,and(b)thedateonwhichtheBorrowernotifiestheLenderthatitdesirestoendtheAcquisitionPeriodforsuchSpecifiedAcquisition;providedthatonceanyAcquisitionPeriodisineffect,thenextAcquisitionPeriodmaynotcommenceuntiltheterminationofsuchAcquisitionPeriodthenineffect.Asusedabove,“SpecifiedAcquisition”meansanyoneormoretransactions(i)pursuanttowhichtheBorroweroranyRestrictedSubsidiaryacquiresforanaggregatepurchasepriceofnotlessthan$50,000,000(x)morethan50%oftheEquityInterestsinanyotherPersonor(y)otherpropertyorassets(otherthanacquisitionsofEquityInterestsofaPerson,capitalexpendituresandacquisitionsofinventoryorsuppliesintheordinarycourseofbusiness)of,orofanoperatingdivisionorbusinessunitof,anyotherPerson,and(ii)whichisdesignatedbytheBorrower(bywrittennoticetotheLender)asa“SpecifiedAcquisition”.OperationPeriodmeanstheperiodcommencingfromCODandendingontheTransferDate;Cropyearmeanstheperiodoftimeforaparticularcroptobeplantedandharvested,oroneyear'stime,whicheverisshorter.StubPeriodmeans,(a)unlessaLoanismadeonanInterestPaymentDate,theinitialInterestPeriodwithrespecttosuchLoanand(b)unlesstheMaturityDateisonanInterestPaymentDate,theInterestPeriodendingontheMaturityDate.lumpsumpaymentperiodmeanstheperiodmeasuredinweeksofsalary,forwhichpaymenthasbeenmadetofacilitatethetransitiontoretirementortootheremploymentasaresultoftheimplementationofvariousprogramstoreducethesizeofthePublicService.Thelumpsumpaymentperioddoesnotincludetheperiodofseverancepay,whichismeasuredinalikemanner.Pre-DistributionPeriodmeansanyTaxPeriodendingonorbeforetheDistributionDate,and,inthecaseofanyStraddlePeriod,theportionofsuchStraddlePeriodendingontheDistributionDate.
